TERMS & CONDITIONS

Moz Web Development


1. General Agreement

By engaging with Moz Web Development for any service including website development, software development, SaaS solutions, mobile applications, or digital marketing, the client agrees to abide by the terms and conditions stated in this document unless otherwise specified in a separate written agreement.


2. Service Scope & Limitations

All services will be delivered strictly as per the agreed quotation, proposal, or Statement of Work (SOW).
Any additional feature, modification, or requirement outside the defined scope will be treated as extra work and charged separately.


3. Website Maintenance & Downtime

  • In case any website developed or maintained by Moz Web Development goes down due to technical issues, we will make reasonable efforts to resolve the issue within 5–7 working days.
  • However, no guaranteed resolution timeline is committed unless explicitly mentioned in a written agreement or maintenance contract.
  • Moz Web Development shall not be held liable for any business loss due to downtime.

4. SSL Certificate Monitoring

  • SSL certificates are checked periodically (typically once per month).
  • If an SSL expires and causes website disruption, the issue will be resolved within 5–7 working days from the time it is identified.
  • Immediate resolution is not guaranteed unless covered under a separate SLA or written agreement.

5. Digital Marketing Disclaimer

  • Moz Web Development provides digital marketing services using platforms such as Meta (Facebook/Instagram) and Google Ads.
  • While best practices, optimization strategies, and professional efforts are applied, no guarantee of leads, sales, or specific results is provided.
  • Campaign performance depends on multiple external factors including market conditions, competition, budget, and audience behavior.

6. Mobile Application (Android)

  • Android app development and deployment timelines are subject to approval processes controlled by the Google Play Store.
  • Moz Web Development does not guarantee publishing timelines or approval outcomes, unless explicitly stated in a written agreement.
  • Any rejection, delay, or policy-related issue from Google is beyond our control.

7. Software & SaaS Ownership Rights

  • All software, SaaS platforms, applications, and systems developed by Moz Web Development remain the exclusive intellectual property of Moz Web Development, including:
    • Source code
    • Database structure
    • Logic and workflows
    • APIs and system architecture
  • Clients are granted a non-exclusive, non-transferable usage license to operate the system for their business purposes.
  • The client shall not:
    • Resell the software
    • Distribute it to third parties
    • Copy, modify, or reverse engineer the system
    • Use it for any organization not directly associated with the original agreement
  • Any such action will be considered a legal violation.
  • Moz Web Development reserves full rights to reuse, modify, and resell the core system, modules, and architecture for other clients, without copying or exposing any client-specific data or branding.
  • Exclusive ownership rights can only be granted through a separate written agreement with additional commercial terms.

8. Quotation & Proposal Validity

  • All quotations, proposals, and SOW documents are valid for 30 days from the date of issuance (email, WhatsApp, or document date).
  • After this period, pricing, scope, and timelines may be revised.

9. Payment Terms & Refund Policy

  • All payments made to Moz Web Development are non-refundable under any circumstances.
  • No refunds will be issued for:
    • Change of mind
    • Project delays not covered under written SLA
    • Partial usage of services
  • Refunds will only be applicable if explicitly mentioned in a written agreement signed by both parties.

10. Project Delays

  • Project timelines depend on timely inputs, approvals, and content from the client.
  • Any delay from the client side will automatically extend the delivery timeline.
  • Moz Web Development shall not be responsible for delays caused by:
    • Late content submission
    • Delayed approvals
    • Third-party dependencies

11. Third-Party Services

  • Any third-party tools, APIs, plugins, hosting, domains, or services are subject to their own terms and policies.
  • Moz Web Development is not responsible for:
    • Downtime
    • Pricing changes
    • Policy changes
    • Service discontinuation

12. Data Responsibility

  • Clients are responsible for maintaining backups of their critical data unless a managed backup service is explicitly included.
  • Moz Web Development shall not be liable for data loss due to:
    • Server failure
    • Hacking
    • Third-party issues
    • Client-side errors

13. Support Scope

  • Basic support includes minor fixes, small updates, and guidance.
  • Major changes, feature additions, or redesigns will be treated as separate paid work.

14. Milestone Payment & Project Continuity

  • In cases where the project is structured on a milestone-based or step-by-step payment model, the client is required to clear each milestone payment and provide all necessary inputs before the next phase begins.
  • Once a milestone is completed and delivered by Moz Web Development, payment for that milestone becomes due immediately and is non-refundable.
  • Moz Web Development shall not be obligated to wait indefinitely for pending payments, approvals, or required inputs from the client.
  • If the client fails to:
    • Clear the next milestone payment, or
    • Provide required information, approvals, or content

    within 30 calendar days, the project may be put on hold.

  • During this hold period:
    • Development resources may be reallocated to other active projects
    • Project timelines will be automatically extended
    • Resumption of work will be subject to availability and scheduling
  • Even after payment clearance, Moz Web Development reserves the right to resume the project based on current workload and queue, and immediate restart is not guaranteed.
  • Any prolonged delay may require re-evaluation of timeline, scope, and pricing, if applicable.

15. Termination

  • Either party may terminate the project with prior notice.
  • Payments made until the termination date will remain non-refundable.
  • Access to services may be revoked if dues are pending.

16. Legal Jurisdiction

  • All disputes shall be subject to the jurisdiction of Kolkata, West Bengal, India.

17. Acceptance

By proceeding with payment, project initiation, or service usage, the client confirms that they have read, understood, and agreed to these Terms & Conditions.
